The specific scope, deliverables, and timeline for any engagement are defined in the applicable order form, proposal, or statement of work agreed between CodePeko and the client.

2. Client Responsibilities

To deliver our services effectively, clients agree to:

• Provide timely access to website backends, analytics accounts, or other systems required to perform the work
• Provide accurate business information and respond to reasonable requests for feedback or approvals
• Ensure they have the legal right to use any content, trademarks, or assets shared with us for SEO purposes
• Make payments according to the agreed billing schedule
• Avoid engaging other SEO providers to perform conflicting or duplicate work on the same site without informing us

3. Fees, Billing & Payment

Service fees are outlined in your proposal or order form and are billed on a month-to-month basis unless otherwise agreed in writing. Invoices are due upon receipt unless a different payment term is specified. Late payments may result in a pause of active work until the account is brought current. All fees are quoted exclusive of applicable taxes unless stated otherwise.

4. Term, Cancellation & Termination

Our standard engagements run month-to-month with no long-term lock-in. Either party may cancel an ongoing engagement by providing written notice, typically with the notice period specified in your proposal (commonly 30 days). Work already in progress at the time of cancellation will be completed or invoiced on a pro-rata basis. We reserve the right to suspend or terminate services immediately if a client breaches these Terms, fails to pay outstanding invoices, or requests work that violates search engine guidelines or applicable law.

5. Intellectual Property

All content on this Site, including text, graphics, logos, and software, is owned by or licensed to CodePeko and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our Site content without written permission.

6. No Guarantee of Results

SEO is an inherently long-term, evolving discipline influenced by factors outside our control, including search engine algorithm updates, competitor activity, and industry shifts. While we work diligently and transparently toward agreed goals, we make no warranty or guarantee regarding specific search rankings, traffic volumes, lead counts, or revenue outcomes. Past performance and case studies referenced on this Site are illustrative and not indicative of guaranteed future results for any particular client.

7. Acceptable Use of the Site

When using this Site, you agree not to:

• Attempt to gain unauthorized access to our systems, data, or accounts

The Site and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising from these Terms or our services shall first be addressed through good-faith negotiation between the parties.
